Dear all,

Notice is hereby given that an Extraordinary General Meeting (EGM) of the Hong Kong Hockey Association (HKHA) will be held on Thursday 10 December 2020 at 7:00 pm at Club de Recreio, Gascoigne Road, Kowloon for the purpose of considering and, if thought fit, to pass the following two resolutions as Special Resolution A and Special Resolution B of the Hong Kong Hockey Association, respectively.

(a) Special Resolution A
That the present structure of the Hong Kong Hockey Association be reorganized as per the proposal outlined in Annex A 

(b) Special Resolution B
That the present voting rights of Full Members of the Hong Kong Hockey Association be restructured as per the proposal in Annex B 

Kindly note a special resolution means a resolution that is passed by a majority of at least 75% of the votes cast by Voting Members and entitled to vote at the EGM.

Enclosed for information and reference only at this stage are proposed draft amendments to the HKHA Memorandum and Articles of the Association based on the assumption of adoption of the above two Special Resolutions. The draft amendments would be submitted for legal review before submission of the same for approval by the Registrar of Companies.

In view of the prevailing circumstances of Covid-19 and the requirement to comply with social distancing measures, clubs in the Men’s and Women’s league may nominate only one authorized representative each to the EGM. Kindly complete the attached form and submit the same to the HKHA by the due date.

A reminder that clubs are only entitled to vote at the EGM if they have competed in the Men’s or Women’s league for at least two years, i.e. 2018/19 and 2019/20 seasons.
